When you are thinking about starting a business, it is important to have business contracts in place to make sure that you protect yourself and your business. You will need to speak with a business lawyer to make sure that your contract is enforceable and that you enter into a contract that is necessary for the type of business you are forming.

Forming Your Company

You will need specific contracts depending on the type of company you will be forming. For example, you may be forming a limited liability corporation or a C corporation. To form a corporation, you will need a manager agreement or a shareholder agreement.

Entering a Contract with Another Party

There are various parties that you may need to enter into contracts with. These can include:

  • Employees
  • Contractors
  • Vendors
  • Customers
  • Investors
  • Other third parties

You may not be aware of the ways in which your contract may not sufficiently protect you from all legal problems. For this reason, you will want a business lawyer to draft your contract and assist you in enforcing it. if you must litigate the contract, a business lawyer can assist you with this as well. You may also need to renegotiate your contract at some point.

The Role of a Business Contract

Even when both parties intend to operate in good faith, a business contract can be beneficial. Each party will be able to understand the role that they are expected to fulfill. Also, if either party wishes to exit the contract, there can be rules put in place to govern this process so neither party is placed at a disadvantage.

If you believe that the other party has not upheld their end of the bargain, you can then use the business contract as a way to take action against that part in court. For example, if you had a vendor who was supposed to deliver materials, you may have a provision in the contract that deals with this.

Enforcing a Contract

For your contract to have any value, it must be a contract that you can hold up in court. As a result, you will need help from a business lawyer who can make sure that your contract is enforceable and can also fight for you in court so you can make sure that your contract is enforced. Then, your business will have more predictability and will be more profitable.
